1.2. bulbul.events operates an online platform for the presentation, facilitation, and technical processing of ticket sales for concerts, festivals, parties, cultural events, and other entertainment activities.
1.3. Unless expressly stated otherwise, Mission Digital GmbH is neither the event organizer nor the contractual party responsible for delivering or conducting the advertised event.
1.4. The respective Event Organizer bears responsibility for organizing, managing, conducting, and fulfilling the contractual obligations associated with the event.
§ 2 Scope of Application and Definitions
2.1. These General Terms & Conditions govern the use of the Platform, the facilitation of event ticket sales, and all related services provided by bulbul.events.
2.2. These Terms apply to consumers within the meaning of Section 13 of the German Civil Code (BGB), businesses within the meaning of Section 14 BGB, and Event Organizers, insofar as the respective provisions are applicable.
2.3. „Customer“ or „Ticket Purchaser“ refers to any individual or entity purchasing or intending to purchase tickets through bulbul.events.
2.4. „Event Organizer“ refers to the natural or legal person independently offering, organizing, or arranging an event and acting as the contractual party responsible to the Customer for admission to and attendance at that event.
2.5. „Ticket“ refers to a physical or electronic admission authorization, which may contain an individual QR code, barcode, or other identification feature.
2.6. „Service Fees“ refer to separately disclosed charges for contractually agreed services related to ticket facilitation or booking processing. „Payment Charges“ refer to any separately agreed and legally permissible charges for specific payment services.
2.7. Additional event-specific terms may apply, provided they have been made available to the Customer before the conclusion of the contract. In the event of conflicting provisions, mandatory statutory consumer rights shall remain unaffected.
2.8. Individually negotiated agreements shall take precedence over these General Terms & Conditions.
§ 3 Role of bulbul.events as an Intermediary
3.1. bulbul.events provides the technical infrastructure enabling independent Event Organizers to advertise events and distribute admission tickets.
3.2. As a general rule, the contract governing attendance at an event is concluded exclusively between the Customer and the respective Event Organizer identified during the booking process. The identity of the Event Organizer shall be disclosed to the Customer before completion of the booking.
3.3. Mission Digital GmbH acts on behalf of or as an intermediary for the respective Event Organizer in connection with ticket distribution, unless a different contractual role is expressly identified in the specific sales process.
3.4. Where bulbul.events provides separately chargeable intermediary or platform services directly to the Customer, a separate contractual relationship is established between the Customer and Mission Digital GmbH for those services.
3.5. bulbul.events does not undertake any independent obligation to conduct the event, guarantee the appearance of particular artists, or personally deliver services contractually owed by the Event Organizer.
3.6. Claims relating to the event itself, particularly those arising from cancellation, failure to perform, substantial program changes, or refusal of admission by the Event Organizer, must generally be directed against the respective Event Organizer, unless bulbul.events bears responsibility under its own statutory or contractual obligations.
3.7. The technical processing of payments or communication with Customers does not, in itself, transfer the Event Organizer’s obligations to bulbul.events. The actual legal and economic structure of the contractual relationships shall determine the respective responsibilities.
§ 4 Platform Services
4.1. bulbul.events provides services that may include searching for and selecting events, booking admission tickets, technically delivering electronic admission authorizations, and accessing available payment methods.
4.2. The specific scope of services is determined by the functions available at the time of use and any expressly agreed additional services.
4.3. bulbul.events reserves the right to develop and improve its technical infrastructure, modify platform features, and engage suitable third-party service providers, provided that contractual obligations and mandatory user rights remain protected.
4.4. No entitlement exists to the continuous availability of specific events, ticket allocations, payment methods, or optional platform features.
4.5. bulbul.events may restrict, suspend, or remove event listings that are manifestly unlawful, fraudulent, or in violation of these Terms, subject to applicable legal requirements.
§ 5 Registration and User Accounts
5.1. Where registration is required to access specific Platform functions, users must provide complete and accurate information.
5.2. Users must keep their login credentials confidential and promptly notify bulbul.events of any unauthorized account access.
5.3. Users shall be liable for activities conducted through their accounts in accordance with applicable law. No strict liability shall arise merely because an activity was performed through a user’s account.
5.4. Contracts may be concluded only by persons with the required legal capacity or with the necessary consent of their legal representatives.
5.5. bulbul.events may restrict or suspend user accounts in cases of material or repeated contractual violations, suspected fraud, or specific security risks, subject to applicable legal requirements.
5.6. Suspension of an account shall not affect statutory claims arising from previously completed ticket purchases.
§ 6 Ticket Offers and Conclusion of Contracts
6.1. The presentation of an event on bulbul.events generally constitutes an invitation to submit an order and does not itself represent a binding contractual offer.
6.2. Before completing an order, the Customer shall have the opportunity to review essential booking information, including the event, date, ticket quantity, ticket category, total price, and applicable fees.
6.3. By activating the order button, which shall be clearly labeled in accordance with statutory requirements, the Customer submits a binding offer to conclude the relevant contract.
6.4. The contract for event attendance is concluded upon acceptance of the Customer’s order by the Event Organizer or by bulbul.events acting under valid authorization on the Event Organizer’s behalf. The relevant time of acceptance shall be determined by the specifically disclosed order process and the corresponding confirmation.
6.5. An automatically generated acknowledgment of receipt does not necessarily constitute acceptance of the contractual offer.
6.6. Bookings are subject to actual ticket availability and successful payment or valid payment authorization.
6.7. In cases of obvious input errors, pricing errors, or system malfunctions, the statutory provisions concerning mistake, avoidance of contracts, and restitution shall apply. Such errors do not establish a general right to cancel validly concluded contracts without legal consequences.
6.8. The contractual terms or essential contractual information shall be provided to the Customer on a durable medium in accordance with applicable law.
§ 7 Ticket Prices and Additional Fees
7.1. Ticket prices are generally determined by the respective Event Organizer.
7.2. All mandatory price components payable by the Customer, including applicable taxes, platform fees, and other compulsory charges, shall be clearly disclosed in due time before the Customer submits a binding order.
7.3. Where applicable, the total price may consist of the ticket price, separately agreed booking or service fees, and additional expressly disclosed, legally permissible services.
7.4. Additional paid services shall only be charged where a valid contractual basis exists. Optional paid services shall not be agreed through impermissible preselected settings.
7.5. Charges directly associated with specific payment methods are subject to statutory restrictions, particularly Section 270a BGB.
7.6. Any subsequent increase in the total price agreed upon at the time of contract conclusion is permissible only where a valid statutory or contractual basis exists.
§ 8 Payment Processing
8.1. Payments shall be processed using the payment methods actually offered during checkout.
8.2. Technical payment processing may be performed by appropriately authorized external payment service providers.
8.3. The applicable terms of the respective payment service provider may additionally apply, provided they are validly incorporated into the contractual relationship and do not impair mandatory consumer rights.
8.4. Where payments are collected on behalf of an Event Organizer under valid authorization to receive or collect payments, proper payment shall discharge the Customer’s corresponding payment obligation toward the Event Organizer.
8.5. If a payment fails or is rejected, the Customer shall generally have no entitlement to the issuance of an unpaid ticket.
8.6. In cases of unjustified chargebacks or payment disruptions attributable to the Customer, actually incurred, necessary, and reasonable costs may be claimed in accordance with applicable law. The Customer retains the right to demonstrate that no damage occurred or that the actual damage was lower.
8.7. Statutory rights concerning the recovery of payments not owed, disputes involving unauthorized payment transactions, and protection against payment fraud remain unaffected.
§ 9 Ticket Delivery and Use
9.1. Tickets shall be issued using the delivery method specified during the booking process, generally in electronic form.
9.2. Customers are requested to check the ticket information upon receipt for identifiable errors and notify bulbul.events of any discrepancies as soon as reasonably possible. Delayed notification shall not result in the exclusion of statutory rights.
9.3. Electronic tickets may contain individual identification codes used for admission control.
9.4. Unless expressly stated otherwise, each ticket entitles its holder to a single admission to the relevant event within the scope of the purchased ticket category.
9.5. Unauthorized reproduction, modification, manipulation, or fraudulent use of tickets is prohibited.
9.6. Where reasonable grounds exist to suspect manipulation, forgery, or multiple use, the responsible admission personnel may verify the ticket and refuse entry where permitted by applicable contractual and statutory provisions.
9.7. Customers who lose access to their tickets may contact customer support. Tickets may be reissued where technically possible and compatible with applicable security requirements.
§ 10 No General Right of Withdrawal and No Voluntary Refunds
10.1. Pursuant to Section 312g (2) No. 9 BGB, consumers generally have no statutory right of withdrawal for contracts involving admission tickets to concerts, festivals, parties, cultural events, and comparable leisure activities scheduled for a specific date or period.
10.2. Accordingly, validly purchased tickets generally cannot be returned, canceled, exchanged for money, or refunded solely because the Customer changes their mind, becomes personally unavailable, or experiences circumstances falling within their own sphere of responsibility.
10.3. No entitlement to voluntary cancellation, rebooking, return, or cash reimbursement exists unless expressly agreed.
10.4. Where an Event Organizer voluntarily offers more favorable cancellation or refund conditions, the conditions communicated before the conclusion of the contract shall apply.
10.5. Mandatory statutory rights to repayment, termination, withdrawal from the contract, compensation, or other legal remedies, particularly in cases of non-performance or defective contractual performance, remain unaffected.
10.6. For services that do not fall within a statutory exception to the right of withdrawal, the applicable statutory withdrawal provisions shall apply.
§ 11 Event Cancellation
11.1. Decisions regarding cancellation or non-performance of an event are made by the respective Event Organizer within the scope of its contractual and statutory obligations.
11.2. The Event Organizer is responsible for promptly informing affected Ticket Purchasers about the cancellation and the subsequent steps.
11.3. Where the contractually agreed event is definitively not conducted, claims for reimbursement of the ticket price shall generally be directed against the Event Organizer.
11.4. The Event Organizer must process legally required refunds in full and within the applicable statutory periods or otherwise without unreasonable delay.
11.5. bulbul.events may assist the Event Organizer with Customer communications and the technical processing of refunds. Such assistance does not, by itself, establish a separate guarantee by bulbul.events regarding the Event Organizer’s refund obligations.
11.6. Where bulbul.events is independently required to issue a refund due to its own contractual obligations, its actual contractual role, or mandatory statutory provisions, those obligations shall remain fully applicable.
11.7. The Event Organizer shall bear the economic consequences of cancellations for which it is responsible vis-à-vis bulbul.events, subject to the applicable Organizer Agreement and statutory provisions.
§ 12 Event Postponements and Material Changes
12.1. An Event Organizer may offer an alternative event date within the scope permitted by contractual and statutory provisions.
12.2. Customers shall be informed of a new event date, change of venue, or other material modifications once reliable information becomes available.
12.3. Whether an already purchased ticket remains valid for a rescheduled event and whether the Customer is entitled to repayment or other remedies shall be determined by the original contract and applicable law.
12.4. The mere announcement of an alternative event date does not automatically exclude statutory refund or contract termination rights.
12.5. The Event Organizer is legally responsible for changes to event commencement times, artist lineups, programs, venues, or other material characteristics of the event.
12.6. Minor or customary organizational changes do not automatically establish an entitlement to reimbursement. The legal assessment depends on the circumstances of the individual case.
12.7. Where Customers have statutory rights arising from material event changes, such rights may be asserted against the legally responsible contractual party.
§ 13 Refunds of Service Fees and Payment Charges
13.1. In the event of a contract reversal or refund, the ticket price, service fees, payment charges, and other purchased services shall be assessed separately according to their respective contractual and statutory bases.
13.2. Fees for properly and fully performed platform services that were validly agreed as separate services may remain payable, provided the applicable statutory requirements are satisfied.
13.3. However, a separately disclosed fee is not automatically excluded from reimbursement merely because it is designated as a „Service Fee,“ „Ticket Fee,“ „Booking Fee,“ or „Payment Fee.“
13.4. Particularly where events are canceled or materially altered, refund eligibility shall be assessed according to the actual contractual structure, the purpose and nature of the respective fee, and mandatory statutory provisions.
13.5. These Terms do not establish a blanket exclusion of refunds for all fees in every case of event cancellation.
13.6. Where fees relate to validly agreed independent services that have already been properly performed and are not legally refundable, such fees shall remain payable to the extent permitted by law.
13.7. Fees or costs imposed by external payment service providers may be charged to the Customer only where legally permissible in the specific circumstances and supported by a valid contractual basis.
13.8. Separate agreements with Event Organizers may govern the allocation of non-refundable payment processing fees, chargeback costs, and service-related expenses.
§ 14 Private Ticket Transfers and Resale
14.1. The private transfer or resale of lawfully acquired tickets to third parties is generally permitted unless valid restrictions, communicated in due time, apply.
14.2. For personalized tickets, the applicable rules regarding transfer and, where relevant, changes to the registered ticket holder must be observed.
14.3. Tickets must not be transferred in a manner that circumvents valid age restrictions, safety requirements, eligibility conditions for discounted tickets, or other admission conditions.
14.4. The transferring Customer must inform the new ticket holder of any essential conditions applicable to the use of the ticket.
14.5. A ticket code that has already been redeemed or sold multiple times does not grant additional admission rights.
14.6. Unless separately agreed, bulbul.events is not a contractual party to resale transactions concluded between private individuals.
14.7. bulbul.events provides no guarantee regarding payment, authenticity, or successful ticket transfer in secondary sales conducted outside the Platform.
14.8. Commercial ticket resale, abusive ticket acquisition, and automated ticket purchasing may be restricted through legally permissible special sales conditions.
§ 15 Admission, Venue Rules, and Visitor Conduct
15.1. Admission control and the exercise of venue rights are the responsibility of the Event Organizer or the authorized operator of the venue.
15.2. Visitors must comply with lawfully communicated venue regulations, safety requirements, age restrictions, and official orders.
15.3. The Event Organizer may refuse admission for objectively justified reasons, including specific safety risks, aggressive behavior, possession of prohibited items, or failure to provide legally required documentation.
15.4. Whether a refund is due in such circumstances shall depend on the specific facts and applicable law.
15.5. Statutory liability provisions apply to personal injury or property damage caused by visitors.
15.6. Responsibility for event safety, appropriate security arrangements, required permits, and compliance with event-related duties of care generally rests with the legally responsible Event Organizer or venue operator.
§ 16 Event Information and Third-Party Content
16.1. Information concerning performers, event dates and times, venues, programs, age restrictions, seating arrangements, and other event characteristics is generally supplied by the Event Organizer.
16.2. The Event Organizer must ensure that all information provided is complete, accurate, and up to date.
16.3. bulbul.events does not independently guarantee the accuracy of all information published by Event Organizers.
16.4. Any statutory obligations of the Platform to review, provide information, exercise due diligence, or respond to unlawful content remain unaffected.
16.5. Where bulbul.events becomes aware of significant inaccuracies or unlawful content, appropriate measures may be taken to review, correct, or remove the affected information.
§ 17 Force Majeure and Extraordinary Circumstances
17.1. Force majeure may include natural disasters, official prohibitions on events, severe weather, armed conflicts, and other extraordinary circumstances beyond the control of the affected contractual party.
17.2. The legal consequences of such circumstances for an event contract shall be determined by applicable statutory provisions and validly agreed event conditions.
17.3. An event of force majeure does not automatically eliminate all statutory refund rights.
17.4. bulbul.events shall not be liable solely by reason of its role as an intermediary for the Event Organizer’s failure to perform the event-related contractual obligations. Any independent statutory or contractual obligations of bulbul.events remain unaffected.
§ 18 Technical Availability and IT Security
18.1. bulbul.events endeavors to operate a secure, functional, and user-friendly Platform.
18.2. Temporary service interruptions may occur due to maintenance, security measures, technical malfunctions, communication network failures, or disruptions affecting external service providers.
18.3. Continuous, uninterrupted, or error-free availability is not guaranteed unless expressly agreed or required by mandatory law.
18.4. bulbul.events shall implement appropriate measures required by law to protect its systems and the data processed through them.
18.5. Existing claims relating to the delivery of paid services, repayment, or compensation shall remain unaffected.
§ 19 Liability of bulbul.events
19.1. Mission Digital GmbH shall be liable without limitation for damages arising from injury to life, body, or health caused by a culpable breach of duty by Mission Digital GmbH, its legal representatives, or persons employed to perform its obligations.
19.2. Mission Digital GmbH shall also be liable without limitation for damages caused by intentional misconduct or gross negligence on the part of Mission Digital GmbH, its legal representatives, or persons employed to perform its obligations.
19.3. In cases of ordinary negligence involving a breach of a material contractual obligation, liability shall be limited to foreseeable damages typical for the type of contract at the time of its conclusion. Material contractual obligations are those whose fulfillment is essential for proper performance of the contract and upon whose observance the contractual partner may reasonably rely.
19.4. Liability for ordinary negligence involving non-material contractual obligations is excluded to the extent permitted by law.
19.5. The foregoing limitations shall not apply where an express guarantee has been assumed, to claims under the German Product Liability Act, or where other mandatory statutory liability provisions prevent such limitations.
19.6. bulbul.events shall not be liable merely because it operates the Platform for damage caused by acts or omissions of independent Event Organizers, artists, security providers, visitors, or other third parties. This shall not apply where Mission Digital GmbH is responsible for its own legally relevant misconduct or where statutory liability exists.
19.7. In particular, acting solely as an intermediary, bulbul.events generally assumes no liability for the actual conduct of events, artistic performances, on-site security, the condition of event premises, or the conduct of event participants.
19.8. Liability for bulbul.events‘ own errors in ticket facilitation, payment or information obligations it has undertaken, and the technical provision of contractually owed services shall be governed by the preceding provisions and applicable law.
§ 20 Misuse and Prohibited Activities
20.1. The Platform must not be used for fraudulent, unlawful, or otherwise rights-infringing purposes.
20.2. Prohibited activities include ticket forgery, manipulation of payment confirmations, unauthorized access to data, abusive automated bookings, and attacks against the technical infrastructure.
20.3. Where concrete indications of such violations exist, bulbul.events may implement proportionate protective measures, including transaction reviews, restrictions on affected functions, or reporting potentially criminal conduct to the competent authorities.
20.4. Existing rights of uninvolved Customers and mandatory statutory protections shall remain unaffected.
§ 21 Intellectual Property, Content, and Trademarks
21.1. The Platform’s design, software, database structures, texts, trademarks, and other protected components are subject to the applicable intellectual property rights.
21.2. These materials may not be used without authorization except within the scope of statutory exceptions or expressly granted usage rights.
21.3. Event Organizers may publish only materials for which they possess the necessary rights.
21.4. Event Organizers grant bulbul.events the necessary non-exclusive rights to use supplied event materials for the agreed presentation and marketing of the relevant event.
21.5. No ownership of trademarks, logos, photographs, or other intellectual property rights is transferred.
§ 22 Reporting Illegal Content and Platform Measures
22.1. Reports concerning potentially unlawful event listings, content, or activities may be submitted to:
info@missiondigital.consulting
22.2. Where required by applicable law, reports should identify the affected content, its location on the Platform, a sufficiently substantiated explanation of the alleged infringement, and appropriate contact details.
22.3. bulbul.events shall process such reports in accordance with applicable statutory requirements, including relevant provisions of the European Union Digital Services Act.
22.4. Measures affecting content or user accounts shall be implemented in compliance with applicable transparency requirements, obligations to provide reasons, and available complaint rights.
22.5. These provisions shall not restrict any statutory reporting, information, or legal remedy rights.
§ 23 Data Protection
23.1. Personal data shall be processed in accordance with applicable data protection legislation, particularly the General Data Protection Regulation (GDPR) and, where applicable, the German Federal Data Protection Act (BDSG).
23.2. Details concerning processing purposes, legal bases, recipients, retention periods, and data subject rights are set out in the separate Privacy Policy.
23.3. Where necessary to process a booking, personal data may be transferred to the respective Event Organizer and participating payment or technical service providers, provided a lawful basis exists.
23.4. The data protection responsibilities of the respective parties shall be determined by the actual data processing activities performed.
23.5. The use of personal data by Event Organizers for their own marketing purposes requires an appropriate legal basis.
§ 24 Customer Support and Complaints
24.1. Customers may contact bulbul.events customer support with questions concerning booking procedures, ticket delivery, or technical difficulties.
24.2. Questions relating to event execution, cancellation, postponement, or other event-related contractual services must generally be directed to the respective Event Organizer.
24.3. Where legally permissible, bulbul.events may forward contact details or booking-related information to the responsible Event Organizer to facilitate the appropriate handling of a request.
24.4. Voluntary assistance in resolving disputes involving an Event Organizer shall not constitute an acknowledgment of independent fault or liability.
§ 25 Amendments to These Terms
25.1. Ticket purchases already completed shall generally remain subject to the Terms validly incorporated into the contract at the time of its conclusion.
25.2. Amendments to these Terms shall apply to future contracts after their valid incorporation into the respective contractual relationship.
25.3. Existing ongoing contractual relationships may only be modified in accordance with a valid amendment agreement and applicable statutory provisions.
25.4. Additional transparency and notification obligations arising under applicable platform regulations shall apply to Event Organizers.
Part II – Special Terms for Event Organizers (B2B)
The following provisions apply additionally to Event Organizers acting in a commercial or professional capacity and offering events through bulbul.events.
§ 26 Organizer Registration and Identity Verification
26.1. Event Organizers must provide complete and accurate information concerning their legal identity, business address, contact details, and, where applicable, company registration, tax, and payment information.
26.2. The Event Organizer represents that it has the necessary authority to organize and distribute tickets for the events published on the Platform.
26.3. bulbul.events may, and where required by law must, collect and appropriately verify specific identity, business, and payment-related information before activating an event listing.
26.4. Event Organizers must promptly notify bulbul.events of material changes to their information.
26.5. Until legally required verification procedures have been completed, bulbul.events may refuse to publish events or enable certain payment functions.
§ 27 Responsibilities and Obligations of Event Organizers
27.1. Event Organizers act independently and bear full legal and economic responsibility for the organization and conduct of their events.
27.2. In particular, the Event Organizer is responsible for:
- The lawful organization, management, and execution of the event.
- Obtaining all necessary permits, licenses, and official authorizations.
- Compliance with safety, fire protection, youth protection, and venue regulations.
- Contractual arrangements with artists, performers, technicians, venues, and other service providers.
- Securing all necessary music licensing and intellectual property rights, where applicable.
- Proper fulfillment of tax obligations.
- Accurate disclosure of prices, ticket categories, and applicable conditions.
- Compliance with applicable consumer protection, competition, and data protection laws.
- Proper fulfillment of all contractual obligations associated with the advertised event.
27.3. The Event Organizer warrants that its offers and event listings are not unlawful, misleading, or fraudulent.
27.4. The provision of ticketing infrastructure by bulbul.events does not replace any official authorization or legal review required for conducting an event.
§ 28 Contractual Relationships with Ticket Purchasers
28.1. The Event Organizer is the contractual party responsible to Ticket Purchasers for event attendance, unless a different contractual arrangement has been expressly agreed and clearly disclosed.
28.2. The Event Organizer must independently fulfill all statutory and contractual obligations owed to its Customers.
28.3. In particular, the Event Organizer is responsible for legally required refunds, accurate event information, and proper performance of the agreed event services.
28.4. Event Organizers must not exclude statutory consumer rights through their own terms and conditions or by providing misleading information to Customers.
28.5. The Event Organizer must ensure that any additional participation or event-specific conditions are communicated and validly incorporated into the relevant contractual relationships.
§ 29 Event Cancellations, Postponements, and Organizer Refund Obligations
29.1. The Event Organizer must notify bulbul.events without undue delay of any planned or actual event cancellation, postponement, or material change.
29.2. The Event Organizer must inform all affected Customers promptly, completely, and accurately about such changes and the legal options available to them.
29.3. Where an event is definitively not conducted, the Event Organizer must issue all refunds required by law or contract or otherwise ensure their proper processing.
29.4. In cases of postponement, the Event Organizer must respect the rights of Ticket Purchasers under applicable law. Offering an alternative date does not automatically release the Event Organizer from existing repayment obligations.
29.5. The Event Organizer is responsible for ensuring that sufficient funds are available to satisfy all refund obligations legally attributable to it.
29.6. The Event Organizer must provide bulbul.events and any participating payment service providers with the necessary information and funds required to process legally owed refunds in accordance with the relevant agreements.
29.7. If the Event Organizer fails to fulfill its refund obligations, bulbul.events may, subject to valid contractual arrangements and legal authorization, take appropriate measures. Such measures may include applying available Organizer balances toward refunds, temporarily withholding payouts, or suspending event listings.
29.8. Customers‘ statutory rights shall not be affected by internal financial or settlement arrangements between bulbul.events and the Event Organizer.
§ 30 Platform Fees, Compensation, and Payment Processing Costs
30.1. Fees for using the Platform shall be governed by the applicable Organizer Agreement, fee schedule, or other payment arrangements validly agreed during the Organizer’s onboarding or activation process.
30.2. The applicable fee structure must be made transparently available to the Event Organizer before the relevant agreement is concluded.
30.3. Where an intermediary or technical service has been properly and fully performed, the corresponding contractually agreed compensation shall generally remain payable in accordance with applicable law.
30.4. A subsequent event cancellation does not automatically eliminate all independently agreed compensation claims against the Event Organizer.
30.5. Payment processing costs, chargeback fees, and necessary refund processing expenses arising from an event cancellation may be allocated to the Event Organizer in accordance with a valid separate agreement and applicable law.
30.6. Where Customers have a mandatory right to reimbursement of certain fees from bulbul.events, such rights shall not be excluded by any conflicting internal agreement with the Event Organizer.
30.7. The allocation of fees and payment-related costs between bulbul.events and the Event Organizer shall operate independently of mandatory consumer refund rights.
§ 31 Settlement, Payouts, and Chargebacks
31.1. Settlement of ticket sales and payment of event proceeds shall be governed by the contractually agreed payment and settlement arrangements.
31.2. bulbul.events may account for contractually owed platform fees and other legitimate, due claims in accordance with the agreed settlement structure.
31.3. Where concrete indications of fraud, impending refund claims, serious contractual violations, or chargebacks exist, payouts may be secured or temporarily withheld to the extent legally permissible and proportionate, provided a valid contractual basis exists.
31.4. The amount and duration of such measures must be proportionate to the identifiable risk and take into account the legitimate interests of both contractual parties.
31.5. Existing rights of payment service providers and mandatory statutory requirements remain unaffected.
31.6. The Event Organizer must settle legitimate chargebacks and resulting legally recoverable costs in accordance with the applicable agreements.
31.7. The Event Organizer retains the right to dispute unjustified claims.
§ 32 Organizer Liability and Indemnification
32.1. The Event Organizer shall be liable in accordance with applicable law for damages and claims resulting from its own breaches of contractual or statutory obligations relating to its events.
32.2. The Event Organizer shall indemnify and hold Mission Digital GmbH harmless against justified third-party claims to the extent that such claims result from breaches of contractual or statutory obligations attributable to the Event Organizer.
32.3. To the extent legally permissible, the indemnification obligation includes necessary and reasonable legal defense costs.
32.4. The indemnification obligation shall not apply to the extent that claims arise from Mission Digital GmbH’s own breaches of duty or its own share of responsibility.
32.5. The Event Organizer shall reasonably cooperate with bulbul.events in defending against relevant claims and provide the information necessary for such defense.
32.6. Requirements to obtain or provide evidence of specific event organizer liability insurance may be established in a separate agreement.
§ 33 Event Content, Intellectual Property, and Marketing
33.1. The Event Organizer is responsible for the legality of its published content and for obtaining all necessary usage rights.
33.2. For the duration required for marketing and processing the event, the Event Organizer grants bulbul.events a non-exclusive, geographically unrestricted, purpose-limited license to use the texts, images, logos, and promotional materials provided.
33.3. This license includes displaying the event on the Platform and promoting it through bulbul.events‘ own or mutually agreed communication channels.
33.4. The right of use shall cease when it is no longer necessary for contractual processing, statutory retention obligations, or the preservation of legitimate claims.
33.5. The Event Organizer warrants that the contractual use of the supplied materials does not infringe third-party rights, to the extent that the Event Organizer is legally responsible for such infringement.
§ 34 Organizer Data and Customer Data
34.1. Both parties must comply with their respective obligations under the GDPR and other applicable data protection legislation when processing personal data.
34.2. The respective data protection roles, including independent controllership, joint controllership, or processing on behalf of another party, shall be determined by the actual responsibilities assumed and, where necessary, governed by separate contractual arrangements.
34.3. The Event Organizer may generally use Customer data made available to it only for lawful purposes, particularly for organizing and processing the relevant event.
34.4. Use of Customer data for the Event Organizer’s independent marketing activities is permitted only where an appropriate basis exists under applicable data protection and competition law.
34.5. The Event Organizer must implement appropriate technical and organizational measures to protect personal data.
§ 35 Event Visibility, Ranking, and Platform Transparency
35.1. Event listings may be displayed according to the search, filtering, sorting, and presentation functions offered on the Platform.
35.2. The principal parameters determining the ranking and visibility of event listings, their relative importance, and any available paid promotional placement options shall be explained to Event Organizers in accordance with applicable legal requirements.
35.3. Paid advertisements and sponsored placements shall be identified as such where required by applicable law.
35.4. The Event Organizer shall receive information regarding the categories of data and functions accessible within its contractual relationship. Any restrictions on data access shall be governed by applicable agreements and statutory provisions.
35.5. Additional distribution channels or partnership programs shall be disclosed where legally required.
35.6. The specific implementation of these transparency requirements must correspond to the actual search, ranking, data access, and advertising functions operated by the Platform.
§ 36 Restrictions, Suspension, and Termination of Organizer Accounts
